GENERAL TERMS AND CONDITIONS OF SALE

These General Terms and Conditions of Sale apply to all reservations made at Château des Fleurs operated by the company BH Champs Elysées, by an individual Client.

**1. Preamble**

1.1 The purpose of these general terms is to define the modalities and conditions under which the company BH Champs Elysées allows its Clients (hereinafter referred to as "the Client(s)") to benefit from all services, including reservations, available on the website and described below (hereinafter referred to as "Services").

- On the website www.chateaudesfleurs.paris, BH Champs Elysées SAS operates the reservation site for Château des Fleurs. This website allows for hotel room bookings.

- By telephone at +33 (0)1 47 20 41 73

- On-site at the hotel reception.

- Through selected agencies by Château des Fleurs.

- Through Partners.

1.2 Any reservation made through the website www.chateaudesfleurs.paris implies full and unconditional consultation and acceptance of these general terms, as well as the conditions of sale for the reserved rate expressly mentioned in the description of the selected rate at the time of reservation.

The Client must confirm by checking the box that they have read and accepted these general terms and conditions and the conditions of sale for the reserved rate before definitively validating their reservation; no reservation is possible without this agreement.

For any other method of reservation, the Client will receive the general terms of sale with the confirmation of their reservation. The reservation confirmation entails adherence to these sales conditions and full and unconditional acceptance of their provisions.

1.3 The Client has the option to save and print these general terms using the standard features of their browser or computer.

1.4 The Site includes the following information:

- The legal notice allowing for precise identification of the company BH Champs Elysées SAS, indicating its corporate name, registered office, and individual tax identification number for VAT,

- The email address and telephone contact information to reach Château des Fleurs,

- The essential characteristics of the accommodations offered by Château des Fleurs,

- The essential characteristics of the additional and optional services offered,

- The prices inclusive of all taxes,

- The sales conditions for the reserved rate,

- The payment terms,

- The general terms of sale,

- The duration of validity of the offers and their prices.

1.5 Before reserving, the Client declares that this reservation is made for personal needs. As a consumer, the Client has specific rights, which may be challenged if the reserved Services are not for personal purposes.

1.6 All information provided on the site www.chateaudesfleurs.paris is presented in French as well as in other foreign languages.

1.7 The Client declares that they have full legal capacity to commit under these general terms. Any reservation made by a minor (aged between 16 and 18) will only be taken into account by Château des Fleurs after obtaining a signed release from the legal representatives of the minor who made the reservation and any accompanying minors. Château des Fleurs reserves the right to request any necessary documentation to authenticate the signature of the release.

2. **Definitions**

For the purposes hereof, the terms below will have the following meanings:

- "Reservation Summary": a dematerialized document that summarizes the characteristics of the Services selected by the Customer on the website www.chateaudesfleurs.paris. This document precedes the Customer's acceptance of these General Terms and the entry of the Customer's banking information for prepayment or guarantee purposes.

- "Reservation Confirmation": a dematerialized document sent to the Customer to indicate the acknowledgment of their reservation which summarizes the characteristics of the Services reserved by the Customer on the website www.chateaudesfleurs.paris.

- "Customer": a natural person acting exclusively for their personal needs.

- "Sales Conditions of the Reserved Rate": Price applied on the selected date by the Customer for a category of room with or without the breakfast option, associated with its payment conditions, conditions for changing reservation dates or reserved Services, and cancellation conditions.

- "Reservation Request": request for room reservations, products, and services at Château des Fleurs, made by the Customer.

- "Partners": refers to any service provider having entered into a service provision contract or partnership agreement with Château des Fleurs.

- "Service": reservation of rooms, products, and services at Château des Fleurs made by the Customer.

- "Site": refers to the website www.chateaudesfleurs.paris.

3. **Purpose**

3.1 These general conditions define the rights and obligations of the Customer and the operating company of Château des Fleurs for all types of reservations (including remote reservations) of services offered by Château des Fleurs.

3.2 They govern all necessary steps for the reservation and follow-up of the reservation between the contracting parties.

3.3 The Customer acknowledges having taken note of the present general conditions of sale and the Sales Conditions of the Reserved Rate and having accepted them.

4. **Modifications**

BH Champs Elysées SAS reserves the right to modify or complement at any time all or part of these general terms and conditions of sale. In this case, the new version of the general terms will be available on the Site along with its date of entry into force. It is advisable for the Client to regularly consult the general terms of sale to be aware of any potential modifications. In any case, the Client will only be bound by the version of the general terms in force at the time the Client places the reservation for their Service.

BH Champs Elysées SAS is not responsible for any damages of any kind that may result from these changes and/or temporary unavailability or even permanent closure of all or part of the Site or the associated Services, such as the online booking space, the private area, or the unavailability of the booking center.

**5. Reservation**

5.1 The Customer selects Services among those offered by Château des Fleurs according to their needs.

5.2 The Customer declares having obtained all necessary information from Château des Fleurs to make their choice and proceed with their reservation.

5.3 The Customer acknowledges having taken note of the nature, price, destination, and reservation conditions of the available Services and having requested and obtained the necessary and/or additional information, including the Sales Conditions of the Reserved Rate, to make their reservation with complete knowledge.

5.4 The Customer may reserve, individually, a maximum of four (4) rooms per reservation on the Site. For any booking of more than four rooms, the Customer may be contacted by the sales team at sales@chateaudf.com.

5.5 The Customer is solely responsible for their choice of Services and their suitability for their needs, such that Château des Fleurs’s liability cannot be sought in this regard.

5.6 The reservation is considered accepted by the Customer at the end of the reservation process.

5.7 All reservations are personal and cannot, under any circumstances, be transferred to a third party, whether for free or for a fee. Any reservation made for another person must be made in the name of the third party who will stay.

**6. Reservation Process**

6.1 The reservation made by the Customer is done directly online on the Site or through the reservation service at +33 (0)1 47 20 41 73 .

6.2 The reservation request is confirmed upon receipt by the Customer of the Reservation Confirmation sent by Château des Fleurs.

6.3 The Customer agrees, prior to any reservation, to complete all mandatory information required for the creation of the reservation file.

6.4 The Customer certifies the truthfulness and accuracy of the information provided.

6.5 The reservation procedure includes the following steps:

- **Step 1** - Choice of room and Sales Conditions of the Reserved Rate,

- **Step 2** - Selection, where applicable, of one or more additional services offered,

- **Step 3** - Presentation of the reservation summary, its total price, the Sales Conditions of the Reserved Rate, which include payment conditions and cancellation conditions, necessary modifications to service choices (date, room, rate, additional service), and information regarding the tourist tax,

- **Step 4** - Recording the Customer’s contact details,

- **Step 5** - Acceptance of the General Terms and Conditions:

On the Site, the Customer confirms, by checking the box, that they have read and accept the present General Terms and Conditions and the Sales Conditions of the Reserved Rate before definitively validating their reservation; no reservation is possible without this agreement. For any other mode of reservation, the Customer receives the general terms and conditions with the confirmation of their reservation. The booking confirmation entails adherence to these sales conditions and complete and unconditional acceptance of their provisions.

- **Step 6** - Recording of credit card numbers in case of guarantee or prepayment request,

- **Step 7** - Confirmation and validation of the reservation and payment by the Customer. Entering the banking information indicates the Customer’s acceptance and has the effect of contracting them with Château des Fleurs.

- **Step 8** - Receipt by the Customer of the confirmation email of their reservation. This email summarizes the booking date, the Services reserved, all taxes included prices with details of applicable taxes, the Sales Conditions of the Reserved Rate (including cancellation conditions), accepted by the Customer, the general terms and conditions, and the address of Château des Fleurs. If the confirmation email is not received within 24 hours following the reservation, it is the Customer's responsibility to contact Château des Fleurs to ensure the correctness of the communicated information and acknowledgment of the reservation.

**7. Cancellation or Modification by the Customer**

7.1 It is reiterated to the Customer that, in accordance with article L. 221-28 paragraph 12 of the Consumer Code, they do not have the right of withdrawal provided for in article L. 221-5 of the Consumer Code.

7.2 The Sales Conditions of the Reserved Rate, accepted by the Customer, specify the terms of cancellation and/or modification of the reservation. Reservations made with prepayment for a non-refundable and non-cancelable rate cannot be modified and/or canceled.

7.3 Any interruption of stay for a reservation with prepayment, for a non-refundable and non-cancelable rate, does not entail any reimbursement.

7.4. When the Terms of Sale of the reserved rate allow:

- Cancellation of a reservation made via the Site can be done directly on the Site through the "Your Reservations" section, or with Château des Fleurs. For reservations made directly with Château des Fleurs, cancellation can only be done with that hotel.

- Modification of the reservation can be done directly with Château des Fleurs, whose contact details are specified in the confirmation email received by the Client.

- In the case of a "no show," meaning a reservation that has not been canceled but for which the Client did not show up at Château des Fleurs on the scheduled arrival date, and provided that the reservation was guaranteed by credit card or prepaid, Château des Fleurs will charge, as a penalty, the amount for one reserved night, or will not refund the amount paid as a prepayment. If multiple nights were reserved, the cancellation conditions will apply according to the Terms of Sale of the reserved rate indicated at the time of reservation.

**8. Cancellation by the hotel**

In case of inability to make the reserved room available to the Client or in case of exceptional events or force majeure, Château des Fleurs may offer the Client an alternative accommodation solution or, failing that, a refund of the entire amount paid for the stay. The alternative accommodation solution offered will be in a hotel of at least equivalent category, or if it is of a lower category, a room of a higher standard than that originally reserved, for services of the same nature. Any potential additional costs associated with this relocation for services of the same nature will be borne by the originally reserved Château des Fleurs. In case of a relocation procedure, the Client may also request the cancellation of their reservation, which will then entitle them to an immediate refund.

**9. Stay at Château des Fleurs**

9.1. To verify their nationality, anyone staying at the establishment must present valid identification at check-in. Otherwise, Château des Fleurs may refuse to rent a room and/or cancel the reservation made without the possibility, where applicable, of refund, in accordance with the Terms of Sale of the reserved rate. Foreign clientele, including companions and adolescents over 15 years old, must complete an "individual police file." Children under fifteen may be listed on an adult's file accompanying them. The information contained therein is governed by the Code of Entry and Stay of Foreigners and Asylum Law, Article R.611-42. The Client may only introduce third parties into the room after obtaining the express permission of Château des Fleurs, which reserves the right to carry out all necessary checks.

9.2. We gladly welcome cats and dogs provided they are kept on a leash in all common areas of the establishment, with the understanding that Château des Fleurs may refuse to accommodate any pet or other animal that poses a security risk to other occupants, at Château des Fleurs’s discretion. For hygiene reasons, animals are not allowed in dining areas (these provisions do not apply to guide dogs or assistance dogs). To ensure everyone’s peace, pets should not be left unattended.

A surcharge per animal may be charged, and we encourage you to refer to the Site for acceptance terms.

9.3. The Client agrees and commits to using the room and shared spaces provided to them reasonably. Any behavior contrary to safety and/or hygiene principles, good morals, and/or public order may result in Château des Fleurs requesting the Client to leave the premises, with no refund.

9.4. Any damage caused by the Client or occupants due to the Client's actions in the room or other spaces occupied during their stay must be reported to hotel reception or the responsible manager and may be charged at the cost of restoration. For safety reasons and to respect everyone, smoking is strictly prohibited within the hotel premises. In accordance with the Public Health Code setting out the conditions for applying the smoking ban in areas designated for public use, smoking in the hotel exposes the Client to fines provided for third-class contraventions or legal action. Penalties equal to a maximum of the price of the reserved room may be applied if the Client does not comply with the signage prohibiting smoking in their room.

9.5. Château des Fleurs has Internal Regulations intended for the Client. The Client agrees to respect these regulations, which apply to both themselves and any occupants. In case of violation of these regulations, Château des Fleurs may immediately expel the Client and all individuals sharing their stay without compensation and/or refund if payment has already been made. They may also be denied future reservations in all group hotels. Furthermore, Château des Fleurs reserves the right to pursue the Client for compensation for any damages, costs, or claims suffered as a result of the Client’s actions.

9.6. Unless expressly stated otherwise, the Client must vacate the room before 12:00 PM on the day the reservation ends. Otherwise, an additional night will be charged.

9.7. In the context of a health crisis or any other exceptional circumstance, if restrictive access measures or bans on the operation of certain public spaces are taken by the government or any other competent authority, the Client is informed that Château des Fleurs may not make certain services other than accommodation (access to the restaurant, pool, gym, spa, etc.) available, or may provide these services partially, without Château des Fleurs being held responsible. Château des Fleurs will make every effort to inform the Client of this information on the Site and/or through any other means as soon as possible. The Client cannot claim any refund of the price paid or any discount.

**10. Liability**

10.1. The photographs presented on the Site are not contractual. Every effort is made to ensure that the photographs, graphic representations, and texts reproduced to illustrate Château des Fleurs provide as faithful and accurate a depiction as possible of the accommodation services offered. Minor variations may occur, particularly due to changes in furnishings or possible renovations.

10.2. In accordance with the laws and regulations governing intellectual property rights, the use and/or reproduction of all or part of the elements comprising the offers on the Site are strictly prohibited, as is any reproduction of the decorations and/or characteristic elements of Château des Fleurs. To respect the privacy and right to image of other Clients of Château des Fleurs, the Client is prohibited from photographing them within the hotel premises and/or publishing photographs taken under such conditions.

10.3. Château des Fleurs will not incur any liability for any direct or indirect damages resulting from actions by a third party or the Client.

10.4. Hyperlinks may lead to other Château des Fleurs sites, for which Château des Fleurs assumes no responsibility regarding the content of these sites and the Services offered. BH Champs Elysées SAS has implemented measures to protect and secure its information system against malicious acts; however, connection to the Site and making a reservation implies that the Client is aware of and accepts the characteristics and limitations of the Internet, including the lack of protection for certain data against possible misuse, hacking, or contamination by potential viruses circulating on the network. BH Champs Elysées SAS disclaims all liability in the event of misuse or incidents related to the use of a computer or any device allowing access to the Internet, maintenance or malfunction of the website, or any other technical connection and sending information to an incorrect address.

10.5. Any irregular, inoperative, incomplete, or fraudulent reservation or payment due to a reason attributable to the Client will result in the cancellation of the order at the Client's expense, without prejudice to any civil or criminal action against the latter.

10.6. Château des Fleurs reserves the right not to admit or to expel, without refund, Clients whose attire is indecent, intended to conceal the face (Law No. 2010-1192 of October 11, 2010), those exhibiting noisy, inappropriate, or intoxicated behavior, or those whose actions are contrary to hygiene, good morals, and public order. Proper attire is required in the restaurants and public areas of the hotel. The Client is courteous and respectful towards the hotel staff. Under penalty of exclusion without refund, the Client must refrain from any verbal or physical violence, any racist behavior or remarks, as well as any form of harassment.

**11. Prices**

11.1. The prices related to the reservation of Services are communicated before and at the time of the reservation.

11.2. The communicated prices are per room for the number of person(s) and the selected date(s). Unless specified otherwise, additional services (breakfast, half-board, full-board, etc.) are not included in the price. Upon confirmation of the Client's reservation, the total amount for the Service reservation will be indicated. Prices take into account the VAT applicable on the day of the reservation, and any change in the applicable VAT rate will automatically be reflected in the prices indicated on the invoice date.

11.3. Prices are confirmed to the Client as all taxes included (TTC), in the hotel's commercial currency (Euros), which in some cases may differ from the local currency of the establishment. The communicated prices are only valid for a limited period. All reservations are payable in the local currency of the hotel.

11.4. If a rate implies that payment is made to Château des Fleurs in a currency different from that confirmed on the reservation, the currency exchange fees (conversion and bank fees) shall be borne by the Client. Note that if there is a conversion of the currency confirmed in the reservation to another currency, it is provided purely for informational purposes and is not contractual, considering potential fluctuations in exchange rates between the reservation date and the date of stay at the establishment.

11.5. The tourist tax and any other taxes specific to the municipalities indicated for each rate are to be paid directly on-site at the hotel unless it is a case of online prepayment where this amount may be included.

11.6. Any modification or establishment of new legal or regulatory taxes imposed by the competent authorities will automatically affect the prices indicated on the invoice date. Indeed, prices may be increased by various taxes depending on the cities/countries. These taxes will be communicated to the Client at the time of reservation, if they are known to the hotel at that time. Otherwise, they will be posted at the reception of Château des Fleurs. The Client agrees to pay the various taxes, without any dispute to Château des Fleurs.

**12. Payment**

12.1. The Client provides their payment information either (i) to prepay the reservation before the stay, or (ii) as a guarantee for the reservation in case of "no show." When it comes to a credit card, the required information includes: the credit card number, without spaces between the digits, the expiration date (it is specified that the credit card used must be valid at the time of the stay), and the visual cryptogram in the case of a prepayment. Château des Fleurs has chosen SyStemPay to secure remote prepayments. The Client's payment card is subject to security checks (ongoing checks, checking the country of the card, checking the country of the IP address, etc.) by the designated partner and may be refused for several reasons: stolen or blocked card, reached ceiling, input error, etc. In case of problems, the Client should contact their bank on one hand and the establishment or any other entity on the other hand to confirm their reservation for the Service and their method of payment. The online payment methods available and communicated may include Visa and Mastercard, American Express, etc. This list may evolve.

12.2. Payment is charged at Château des Fleurs during the stay unless special conditions or rates apply where the payment is charged at the time of reservation (prepayment on certain rates).

12.3. In the case of payment at Château des Fleurs, the establishment may accept different means of payment, but the Client must present the credit card that enabled them to guarantee the reservation or make the prepayment to ensure the identity of the Client. Château des Fleurs may also request the presentation of an ID for the purpose of preventing credit card fraud.

12.4. Any cash payment shall not exceed 1,000 euros. If the Client's tax residence is abroad, cash payments shall not exceed 15,000 euros. If the Client has not prepaid their stay, the establishment will request, upon arrival, a security deposit or authorization to debit the credit card to secure the stay corresponding to the total number of reserved nights, plus a flat amount of 100 euros per person per day to secure extras. This same guarantee will be required for invited third parties. If the Client has prepaid their stay, the establishment may request a flat amount per person per day to guarantee extras. For distance sales made by phone, the Client is informed that they will be required to sign the merchant receipt upon arrival at Château des Fleurs.

12.5. At the time of prepayment, the amount charged during the reservation includes: the price of accommodation, taxes related to accommodation, the price of meals if breakfast is chosen, taxes related to meals, and any other additional services selected by the Client, excluding the tourist tax and/or any other tax that may be due because of the Client's stay at the hotel.

**13. Personal Data**

13.1. The personal data requested during your reservation, namely your title, last name, first name, postal address, phone number with country code, email address, credit card details (number, card type, cardholder's name, expiration date, and cryptogram if provided) as well as any data communicated or generated by your browsing, constitute confidential data.

13.2. This data is only accessible to BH Champs Elysées SAS, BH Hotels SAS, and our subcontractor in charge of managing our "reservations" pages, and is intended for processing your reservations and stays; provided that you have accepted by checking the corresponding box, to send you our newsletter, or to respond to your requests or communicate commercial offers. They are retained for the duration necessary for the commercial relationship established between the Client and BH Champs Elysées SAS.

13.3. Some information requested in the forms is mandatory and is indicated by an asterisk. If you choose not to provide this information, we will be unable to process your request.

13.4. In accordance with the "Data Protection Act" of January 6, 1978 as amended, you have the right to access, rectify, delete, request a limitation of the processing of your personal data. You also have the right to object to the processing of your data for legitimate reasons and the right to object to the processing of your data for commercial prospecting purposes, as well as the right to provide us with instructions on the fate of your data after your death. Any individual registered with the service https://www.bloctel.gouv.fr or https://pro.bloctel.gouv.fr has the right to exercise their rights of access, rectification, restriction, erasure, portability, and objection to the processing of their data in accordance with Articles 12 and following of Regulation No. 2016/679 of the European Parliament. **14. Proof Agreement**

14.1. The entry of the required banking information, as well as the acceptance of these general terms and conditions and the order or reservation request, constitutes acceptance of the hotel contract between the parties, having the same value as a handwritten signature.

14.2. The computerized records maintained in the information systems of BH Champs Elysées SAS will be kept under reasonable security conditions and considered as proof of the communications, orders, and payments that occurred between the parties.

**15. Force Majeure**

BH Champs Elysées SAS shall not be held liable towards the Client in the event of non-performance of its obligations due to a force majeure event. Similarly, the Client shall not be held liable towards BH Champs Elysées SAS in the event of non-performance of its obligations due to a force majeure event. Events typically recognized as force majeure or fortuitous events by French Courts are considered as such.

**16. Applicable Law**

These General Terms and Conditions of Sale are governed by French law.

**17. Entirety**

17.1. These General Terms and Conditions of Sale, the terms of sale for the rate reserved by the Client, and the reservation confirmation express the entirety of the obligations of the parties.

17.2. No general or specific conditions communicated by the Client may be integrated into these general terms and conditions.

17.3. The documents forming the contractual commitments between the parties are, in descending order of priority, the order or reservation request (including the specific conditions of the reserved rate) validated by the Client and these General Terms and Conditions.

17.4. In the event of a contradiction between the reservation confirmation and these General Terms and Conditions, the provisions in the reservation confirmation will be the only ones applicable to the obligation in question.

**18. Mediation**

18.1. The Client is informed by Château des Fleurs of the possibility of resorting, in the event of a dispute regarding these General Terms and Conditions, to a conventional mediation procedure or any other alternative dispute resolution method, under the conditions provided in Title I of Book VI of the Consumer Code.

18.2. Consumer Dispute Mediation

In accordance with the provisions of the Consumer Code, the Client has the right to resort free of charge to the mediation service offered by BH Champs-Elysées. The proposed consumer mediator is AME. They can be contacted:
